1. General
These Terms of Service (“Terms”) constitute a legally binding agreement (“Agreement”) between you and Mojo Mingle ABN 54136792559, c/o Sarah Rus, PO Box 5162, East Geelong, Victoria, Australia, governing your access and use of this website (collectively, the “Site”), your participation in our events, and your engagement with our Services.
The collection and use of personal information in connection with your access to and use of the Site is described in our Privacy Policy.
You should also read our Refund Policy and Website Disclaimer, which apply to all bookings and services.
We reserve the right to change these Terms, or the website or content contained within the Site, at any time, with or without notice.
Mojo Mingle gives no warranty, guarantee, or representation about the accuracy, reliability, or timeliness of the information contained on the Site.
1.1 The Services
The services offered by Mojo Mingle are contained within this Site and include, but are not limited to:
- Dating profile photoshoots.
- Social gatherings and events (e.g. Offline Valentine Experience, Street Art Walks, workshops and talks in collaboration with third-party facilitators).
Services may be delivered online, in person, or through third-party venues and platforms.
1.2 Contracting Party
For purposes of these Terms, Mojo Mingle shall be referred to as “us,” “we,” or “our.”
2. Terms of Service Agreement
These Terms govern all our Services, subject to your acceptance without modification. In addition to the Sections below, these Terms include and incorporate by reference the following agreements, policies, and guidelines (as amended from time to time):
By accessing or using the Site or Services, you agree to be bound by these Terms and all incorporated policies.
3. Acceptance
These Terms are effective upon your acceptance by using this Site or engaging in our Services unless terminated. Membership is not required to attend our social events and experiences. Regardless, you are bound by these Terms, and your attendance implies consent.
You may also enter into a binding contract with Mojo Mingle when you:
- purchase a service,
- register for an event, or
- click “Get Started” (or a similar button).
4. Modifications
Except to the extent set forth in Section 6 below, Mojo Mingle reserves the right, at its sole discretion, to modify or replace any of the terms or conditions of these Terms (or any of the agreements that make up these Terms) at any time (collectively, “Modifications”).
Modifications to these Terms will be posted on the Mojo Mingle website with a change to the “Last Updated” date.
It is your responsibility to check these Terms periodically for Modifications. Your continued use of the Services following the effectiveness of any Modifications constitutes acceptance of those Modifications. If any Modification is not acceptable to you, you must cease accessing, browsing, and using the Services.
5. Memberships
5.1 Membership
If you have joined our social media pages, subscribed to our mailing list, participated in a membership or coaching program, purchased products or services, or downloaded free or paid content, you are considered a “Member” under this Agreement.
5.2 Brands
We are the sole owner of the following names, brands, and domains: “Mojo Mingle,” “Offline Valentine,” and any other brand names we may adopt.
5.3 Materials
Materials include all content, documents, intellectual property, media, and resources we provide (the “Materials”). Mojo Mingle remains the sole and exclusive owner of the Brands and Materials.
5.4 Natural Person
You are entering into this Agreement as an individual and natural person, and use of the Materials is solely for your personal development and education.
5.5 Licence
For the appropriate fee, Mojo Mingle grants you a limited, non-exclusive, non-sublicensable, and non-transferable licence to access and use the Materials for personal purposes. You may not:
- reproduce or distribute the Materials,
- modify or create derivative works,
- remove copyright or trademark notices, or
- use data mining or extraction methods.
This licence terminates upon cancellation of your membership or subscription.
5.6 Payments
- Payments for Mojo Mingle services (matchmaking, photoshoots, events) must be made in Australian Dollars (AUD).
- All advertised pricing excludes GST unless otherwise stated.
- Payments may be made online via Stripe, PayPal, Humanitix, or Eventbrite. In rare cases, direct bank transfer may be accepted.
- If paying via NAB over-the-counter deposit, you must add $3 to cover the bank’s processing fee.
6. Events
6.1 Eligibility
- Singles events are for adults 18+.
- Community events may be open to all adults.
- Events are not suitable for individuals convicted of a felony or registered sex offenders.
- Events are drug-free and smoke-free in accordance with Victorian Health policy.
6.2 House Rules
- Be inclusive and friendly.
- No phones visible/audible during events unless mentioned otherwise e.g. last hour of Offline Valentine.
- Give your details, don’t pressure others for theirs.
- No smoking or drugs at events.
- Be courteous – arrive on time, notify if plans change, pay your own food/drink costs.
- Strikes Rule – three strikes may result in suspension from services (see original strike process).
6.3 Cancellations and Transfers by Client
- Mojo Mingle does not offer refunds for change of mind or personal circumstances.
- Tickets may be transferred to another suitable person you’ve found, for a $25 administration fee, provided all attendee details are supplied.
6.4 Cancellations by Mojo Mingle
If Mojo Mingle cancels or reschedules an event (due to weather, low numbers, or other unforeseen circumstances), liability is limited to the ticket price paid. Refunds, credits, or transfers may be offered at our discretion.
7. Invoices
Invoices are automatically generated or may be requested by email (events@mojomingle.com.au).
8. Responsibilities
Participants are responsible for their own safety and wellbeing. Respectful behaviour is required. We reserve the right to refuse entry or remove attendees without refund for inappropriate conduct.
9. Termination
Mojo Mingle may terminate access to Services for breaches of these Terms, misuse, or legal violations. Termination may occur via the 3 Strikes Rule or at the Director’s discretion.
All provisions of these Terms that by their nature should survive termination shall survive, including indemnification, confidentiality, intellectual property, and dispute resolution.
10. Additional Services
Mojo Mingle also provides:
- Matchmaking & introductions (Offline Valentine event).
- Dating profile photoshoots.
Note: Mojo Mingle does not conduct background checks unless specifically stated.
11. Indemnification
You agree to defend, indemnify and hold Mojo Mingle and its affiliates and subsidiaries, and each of their officers, directors, agents, co-branders, licensors, payment processing partners, other partners and employees, harmless from any and all damage, loss, liability, cost and expense (including reasonable legal and accounting fees) resulting from any claim, demand, suit, or investigation made by a third party due to or arising out of:
- (a) your breach of these Terms;
- (b) your improper use of the Services;
- (c) your violation of any applicable law or rights of a third party; or
- (d) in the case of organisers, your events or the fact that Mojo Mingle was providing Services in respect of those events (except where the claim arises from Mojo Mingle’s gross negligence or wilful misconduct).
12. Confidentiality
This Agreement constitutes a mutual non-disclosure agreement. Both Parties agree not to disclose or misuse any Confidential Information obtained during the course of this Agreement. Confidential Information does not include information lawfully obtained from a third party.
13. Compelled Disclosure of Confidential Information
If a Party is legally required to disclose Confidential Information, notice shall be provided to the other Party to allow protective measures to be taken.
14. Non-Disclosure of Course Materials
Materials provided during our services are proprietary and copyrighted. They are provided for the Member’s individual use only. No license to sell, share, or distribute our materials is granted or implied.
15. Non-Disparagement
Neither Party shall make false, disparaging, or derogatory statements about the other, in public or private.
16. Additional Indemnification
The Member shall defend, indemnify, and hold harmless Mojo Mingle, its shareholders, affiliates, successors, and representatives from any liability, damages, costs, or expenses arising from participation in the Services, except where due to Mojo Mingle’s gross negligence or wilful misconduct.
17. Dispute Resolution
Any dispute not resolved by good-faith negotiation within 30 days shall be submitted to mediation in Victoria within 90 days. The decision of the mediator shall be binding and enforceable.
17.1 Warranties
Mojo Mingle provides Services using a commercially reasonable level of care but disclaims all warranties, express or implied, including merchantability, fitness for purpose, and non-infringement. Services are provided “as is” and “as available.”
18. Intellectual Property
The brand names, slogans, program content, business names, pending trademarks, service marks, designs, and logos used on the Site or Services are the trademarks of Mojo Mingle.
You may not reproduce, republish, or reuse materials without permission. All intellectual property remains the sole property of Mojo Mingle.
19. Release
By participating in Services, you release Mojo Mingle from all claims, damages, or liabilities arising out of disputes with third parties or other participants.
20. Waiver
By using our Services, you grant Mojo Mingle permission to use your likeness in photos, videos, or other media for promotional purposes, unless you object in writing.
21. Notices
Notices may be delivered to you via email, SMS, Messenger, or mail. Notices to Mojo Mingle must be sent to (events@mojomingle.com.au).
22. Entire Agreement
These Terms, along with the Privacy Policy, Refund Policy, and Website Disclaimer, constitute the entire agreement between you and Mojo Mingle, superseding all prior agreements or communications.
23. Jurisdiction
These Terms are governed by the laws of the State of Victoria, Australia.
24. Titles
Section titles are for convenience only and have no legal or contractual effect.
25. Violations
Please report any violations of these Terms to (events@mojomingle.com.au).
26. Assignment
Mojo Mingle may assign its rights and obligations under these Terms without notice or consent.
27. Relationship
No agency, partnership, joint venture, or employment relationship is created by these Terms.
